These Terms of Service (“Terms”) govern your access to and use of XP3R Inc.’s (“XP3R”, “we”, “us”) websites, services, and materials (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms.
1. Use of Services
- You must be at least 18 years old and able to form a contract to use the Services.
- You agree to provide accurate information and use the Services only for lawful purposes.
- XP3R may modify or discontinue services at any time, with or without notice.
- Access to certain portions of the site may require authentication or specific agreements.
2. Intellectual Property
- All content, trademarks, and intellectual property on the Services belong to XP3R or our licensors.
- You may not reproduce, distribute, or create derivative works without prior written consent.
- Any feedback or suggestions you provide may be used by XP3R without restriction or obligation.
3. Confidentiality
- Certain engagements may require mutual non-disclosure agreements (NDAs). When in place, both parties agree to protect confidential information from unauthorized use or disclosure.
- Public information, independently developed knowledge, or information obtained legally from third parties is not considered confidential.
4. Disclaimers
- Services are provided “as is” without warranties of any kind, express or implied.
- XP3R does not guarantee that Services will be uninterrupted, error-free, or secure.
5. Limitation of Liability
- In no event will XP3R be liable for indirect, incidental, special, consequential, or exemplary damages arising from the use of or inability to use the Services.
- XP3R’s total liability to you for any claim arising out of or relating to the Services will not exceed the greater of (a) $100 USD or (b) the amount paid to XP3R for the Services giving rise to the claim.
6. Indemnification
- You agree to indemnify and hold XP3R harmless from any claims, losses, or damages resulting from your use of the Services or violation of these Terms.
7. Governing Law & Disputes
- These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.
- Disputes will be resolved through binding arbitration in Houston, Texas, except that either party may seek injunctive relief in court.
8. Changes to Terms
- We may update these Terms at any time. Continued use of the Services constitutes acceptance of the updated Terms.
